The rules we observe
at the Association are:
Redlands Residents’ Association
Constitution
1. Name
The Association shall be called the Redlands Residents’ Association.
2. Objects
The objects of the Association shall be:-
1.) to advance, protect and cater for the interests of the residents
2.) to preserve and improve the amenities of the district
3.) to represent the interests of the residents to other persons
3. Political affiliation
The Association shall be non-political.
4. Membership
1.) Membership shall be open to all adult residents of the following
roads and
such other roads as the Association shall in general meeting determine:-
Beaconfields
Beacon Rise
Braeside Avenue
Braeside Close
Brittains Lane
Chichester Drive
Croft Way
Downsview Road
Greenwood Way
Middlings Rise
Redlands Road
Stapleford Court
The Middlings
2.) The committee shall have power to terminate the membership of
any member
for the following reasons:-
1.) failure to pay any sum due to the Association
2.) conduct which in the opinion of the committee is contrary to the
interests
of the Association.
3.) A member may terminate his or her membership at any time by giving
notice
in any form to the Secretary of the Association.
5. Officers
1.) The officers of the Association shall be :-
Chairman
Secretary
Treasurer
2.) The officers shall be elected at the annual general meeting and
shall hold
office until the termination of the next annual general meeting.
3.) Officers shall be eligible for re-election.
4.) If a vacancy occurs in any office at any time the committee shall
have power
to appoint any person including any co-opted member of the committee
to that office and such person shall hold office until the termination
of the next annual general meeting.
6. Committee
1.) The committee shall consist of the officers and not more than
6 committee
members.
2.) The committee members shall be elected at the annual general meeting
and
shall hold office from one general meeting until the conclusion of the
next.
3.) Committee members shall be eligible for re-election.
4.) The committee shall have power to co-opt further members.
5.) The committee shall hold such meetings as it deems necessary and
shall determine the length and nature of notice of such meetings.
6.) Decisions of the committee shall be taken by simple majority with
the
chairman having a casting vote.
7.) Three members of the committee shall constitute a quorum.
7. Election of Officers and Committee Members
Any member of the Association may be proposed for election as an officer
or a
committee member without notice at any time including the holding of
a general
meeting.
8. General meetings
1.) The committee shall convene an annual general meeting of the Association
once in each calendar year.
2.) The committee shall have power to convene such other general meetings
of the Association as it thinks fit.
3.) If at least 10 members request the committee to hold an extraordinary
general meeting the committee shall do so as soon as reasonably possible
and in any event within 28 days of receipt of such request.
4.) Subject to clauses 11 and 14 a member may at a general meeting propose
any motion of which notice has been given to the Secretary not less
than 14 days before the date of such meeting.
5.) Resolutions shall be passed at general meetings by simple majority.
6.) Ten members of the Association shall constitute a quorum.
7.) If an annual general meeting is not quorate it shall be adjourned
to a date and a place announced thereat not more than one month later
and the members then attending shall constitute a quorum.
9. Voting
Voting at general meetings shall be by show of hands unless the chairman
of the
meeting shall otherwise determine.
10. Notices
1.) Not less than 21 days’ notice shall be given of any general
meeting.
2.) Notice of the agenda of a general meeting shall be given not less
than 7 days
before the meeting.
3.) Notices may be given by such means as the committee shall from time
to
time determine
4.) Failure to give notice of a general meeting or any business to be
conducted thereat shall not invalidate the meeting or any resolution
passed thereat.
11. Amendment of the Constitution
The constitution of the Association may be amended at any general meeting
by a resolution passed by simple majority provided that at least 21
days’ notice of the intention to propose such a resolution has
been given to members of the Association.
12. Subscriptions and Contributions
1.) The committee shall have power to determine the amount and frequency
of payment of members’ subscriptions to the Association provided
that
subscriptions shall not be payable more than once in each calendar year.
2.) The committee may from time to time determine to raise a contribution
from members either in addition to or in place of subscriptions provided
that the amount of such contribution shall not exceed £20 or such
other sum as shall be fixed by resolution passed at a general meeting.
13. Accounts
1.) The accounting year shall commence on the 1st April.
2.) Accounts for the preceding accounting year shall be presented at
each annual general meeting.
14. Voluntary Winding up
The Association shall be wound up at any general meeting by a resolution
passed by simple majority provided that at least 21 days’ notice
of the intention to propose such a resolution has been given to members
of the Association.
15. Compulsory Winding up
If an insufficient number of officers and committee members is appointed
at an annual general meeting then:-
1.) The meeting shall stand adjourned to a date and a place announced
thereat not more than one month later
2.) The existing officers and committee shall remain in office until
such adjourned meeting
3.) If at such an adjourned meeting a sufficient number of officers
and committee members is not appointed the Association shall thereupon
be wound up
4.) The funds and other property of the Association shall pass to the
Sevenoaks Town Council
5.) The officers and committee members shall continue to act solely
for the purpose and to the extent necessary to pass the property of
the Association to the said council and an acknowledgment signed by
an officer of the said council of receipt of the said property shall
be a sufficient discharge of the officers and committee.
